1. Who we are
Metamax ("Metamax," "we," "us") provides the Metamax design-to-delivery platform. These
Terms govern your use of our websites (metamaxdev.com) and application (metamaxdev.ai),
together the "Service." The Service is operated by Metamax Development, LLC. By creating an
account or using the Service you agree to these Terms.
2. The Service
Metamax orchestrates software and creative work across human and AI resources. We offer a
free Local edition that runs on your machine, and a paid Web edition that adds
real-time collaboration and hosted features. Specific features may change over time.
3. Eligibility & accounts
You must be at least 18 years old to use the Service. You are responsible for the accuracy
of your account information, for keeping your credentials secure, and for all activity under
your account. One account is for one person; do not share credentials.
4. Subscriptions, billing & renewals
The Web edition is offered at $10 per user / month or $100 per user / year
(introductory Founders pricing — see Section 5). The Local edition is free.
Paid plans are recurring subscriptions that automatically renew at the end of
each billing period until cancelled. By subscribing you authorize us, through our payment
processor Stripe, to charge your payment method on each renewal.
You may cancel at any time; cancellation takes effect at the end of the current billing
period and you retain access until then. Except where required by law, payments are
non-refundable.
We may change prices on a going-forward basis with reasonable advance notice — except for
Founders pricing, which is governed by Section 5.

5. Founders program
The Founders offer is limited to the first 1,000 paying users. If you subscribe as a
Founder, your rate of $10/month (or $100/year) is guaranteed not to increase for at least
three (3) years from your subscription start date, provided your subscription remains
continuously active. Founders subscriptions are maintained on a grandfathered price; a lapse
or cancellation may forfeit the Founders rate. Once the 1,000-user cap is reached, standard
pricing applies to new subscribers.
6. Your content and projects
You retain all rights to the projects, documents, and materials you create with Metamax
("Your Content"). Metamax does not access your source code. You grant us only the limited
license needed to host, process, and display Your Content for the purpose of operating the
Service for you. We do not sell Your Content and do not use it to train models except as you
explicitly direct.
7. Acceptable use
You agree not to: use the Service unlawfully; infringe others' rights; attempt to breach or
probe security; resell or sublicense the Service without authorization; or use it to generate
unlawful, harmful, or abusive material. We may suspend accounts that violate this section.
8. Third-party services and AI providers
The Service integrates with third parties you choose to connect (e.g., Git, Jira, Linear,
Notion, Discord) and with AI/LLM providers (e.g., Anthropic, OpenAI, Google, xAI, or local
models). You are responsible for your own accounts, API keys, and compliance with those
providers' terms. Your bring-your-own keys are used only to operate the features you enable.
9. Intellectual property
The Metamax software, platform, trademarks, and content (excluding Your Content) are owned by
us and protected by law. These Terms grant you a limited right to use the Service, not any
ownership of it. Software use is also governed by the EULA.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, to
the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted,
error-free, or fit for a particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, Metamax will not be liable for indirect, incidental,
special, consequential, or punitive damages, or for lost profits or data. Our total liability
for any claim is limited to the amounts you paid us in the twelve (12) months before the claim.

12. Indemnification
You agree to indemnify Metamax against claims arising from your misuse of the Service, your
content, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation
of these Terms or to protect the Service. On termination, your right to use the Service ends;
provisions that by their nature should survive (IP, disclaimers, liability limits) survive.
14. Changes to these Terms
We may update these Terms; material changes will be notified through the Service or by email.
Continued use after changes take effect constitutes acceptance.
15. Governing law & disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict
of laws rules. The parties submit to the courts located in Nevada, unless otherwise required by

1. Scope
This Policy explains what we collect, how we use it, and who we share it with when you use
metamaxdev.com and metamaxdev.ai (the "Service"), operated by Metamax Development, LLC.
2. What we collect
Account information — your name, email address, a securely hashed password, and an
optional Discord username.
Billing information — handled by Stripe. We receive billing metadata and subscription
status; we do not store your full card number.
Usage data — product analytics about how features are used, for the purpose of
operating and improving the Service.
Security data — limited information used by Cloudflare Turnstile to tell humans from
bots at sign-up and sign-in, and standard server logs.
Cookies — strictly necessary cookies for authentication/session. We do not use
advertising or cross-site tracking cookies.
Your project content (Web edition) — the documents, plans, tasks, and related materials you create or sync when using the hosted Web edition. The free Local edition keeps your work on your own machine.
3. What we do NOT do
We do not access your source code.
We do not sell your personal information, and we do not share it with third parties for
their own marketing.
Usage monitoring is used only for product optimization — not for advertising profiles.
4. How we use your information
To provide and secure the Service; to process subscriptions and send transactional messages
(such as billing notices); to provide member features like the private
Discord; to understand and improve product usage; and to comply with law.
5. Service providers (subprocessors)
We use a small set of vendors to operate the Service. They process data on our behalf under
contract and are not permitted to use it for their own purposes:
Stripe — payment processing and subscription billing.
Cloudflare (Turnstile) — bot/abuse prevention on auth forms. Turnstile runs in
managed mode; see Cloudflare's Turnstile Privacy Addendum, which is incorporated here by
reference.
Render — application hosting and managed database/cache, located in the United States
(Oregon region).
Google (Gmail / Google Workspace) — transactional email such as billing and account notices.

6. AI / LLM providers
When you enable AI features you may connect providers (Anthropic, OpenAI, Google, xAI, or local
models) using your own keys. Content you send to those providers is governed by their terms; we
pass it through only to deliver the feature you requested.
Metamax measures the token usage of AI operations you run in the app — the number of tokens consumed, by provider and category — so you can see and optimize your AI costs through the in-app token analytics and cost audit. This is usage metering for token transparency and optimization; it covers only activity that runs through Metamax. We cannot track API usage that occurs outside the application (for example, using the same key directly with a provider or in other tools).
7. Data retention
We keep account and billing records for as long as your account is active and as needed to meet
legal, tax, and accounting obligations, then delete or anonymize them.
8. Storage & security
Your account data and, for the Web edition, the project content you create or sync ("Your Content") are stored in our managed database hosted in the United States (Render, Oregon region). We store your Metamax project documents — design docs, plans, tasks, and the like — to provide the collaboration and sync features you use; we do not store or access your source code. The free Local edition keeps your work on your own machine.
We use industry-standard measures including encryption in transit (TLS), encrypted secrets,
network isolation for our database and cache, and bot/abuse protection. No system is perfectly
secure, but we work to protect your information.
9. Your rights and choices
You may access, correct, export, or delete your account information by contacting us. Depending
on where you live, you may have additional rights under laws such as the GDPR or CCPA/CPRA.

10. Data location
The Service is hosted in the United States. If you access it from elsewhere, you consent to
processing in the United States.
11. Children

you through the Service or by email.

1. License grant
Subject to this EULA and the Terms of Service, Metamax Development, LLC grants you a limited,
non-exclusive, non-transferable, revocable license to install and use the Metamax software (the
Local application and the hosted Web application) for your own internal or commercial work.
2. Restrictions
You may not: copy (except as needed to use the software), modify, or create derivative works of
the software; reverse engineer, decompile, or disassemble it except to the extent that right
cannot be lawfully restricted; rent, lease, sublicense, sell, or distribute it; or remove any
proprietary notices.
3. Ownership
The software is licensed, not sold. Metamax retains all right, title, and interest in and to the
software, including all intellectual property rights. No rights are granted except as expressly
stated here.
4. Your content and local data
You retain ownership of the projects and data you create. The Local edition is local-first —
your work stays on your machine. Metamax does not access your source code. The Web edition
hosts the data you choose to sync, solely to provide the Service to you.
5. Third-party components and AI providers
The software may include third-party open-source components under their own licenses, and lets
you connect third-party AI providers using your own keys. You are responsible for your use of
those providers and for compliance with their terms.
6. Updates
We may provide updates, which are covered by this EULA unless they come with separate terms.
Some features may require the current version.
7. Term and termination
This license is effective until terminated. It ends automatically if you breach it. On
termination you must stop using and, for the Local edition, delete the software. Sections that by
their nature survive (ownership, disclaimers, liability limits) survive termination.
8. Disclaimer and limitation of liability
The software is provided "as is" without warranty of any kind. To the maximum extent
permitted by law, Metamax disclaims all warranties and will not be liable for indirect or
consequential damages; our aggregate liability is limited as stated in the Terms of Service.
